Terms and Conditions for Venn Software Inc. Incorporation Service

1. Introduction
​

These Terms and Conditions ("Agreement") govern your use of the Venn Software Inc. (“Venn”, “We”, “Us”, “Our”) Incorporation Services ("Services") for incorporating a business federally under the Canada Business Corporations Act (CBCA) or provincially under the Ontario Business Corporations Act (OBCA), and for applying for a Venn business account. By using our Services, you ("Customer") agree to comply with and be bound by this Agreement.

These Incorporation T&Cs are supplemental to Venn’s general Terms of Service, available at https://www.venn.ca/legal/terms-of-service.


​2. Government Filing Terms
​

Definitions:

  • Incorporator: The person submitting the filing on behalf of the Entity, also referred to as the Customer.
  • Authorizers: The person(s) signing or otherwise authorizing the filing, including the Incorporator and any other directors or owners who approve the filing.
  • Entity: The corporation that is the subject of the filing.

Terms:

Agreement to these Terms and Conditions by the Incorporator, the Authorizers, and the Entity is a mandatory condition of filing. The Customer is responsible for ensuring that all relevant parties have read and agree to these Terms and Conditions.

  • Federal (Canada) Filing: These Terms and Conditions are made under the authority of Corporations Canada and the CBCA. For more information on federal requirements, see Corporations Canada. If you’re filing federally, the Terms and Conditions below for the province applicable to your corporation’s registered office will also apply.
  • Provincial (Ontario) Filing: These Terms and Conditions are made under the authority of the Ministry of Public and Business Service Delivery (“Ministry”) and the OBCA. Full Ministry terms can be found here.

Acceptance:

By proceeding with this filing, the Incorporator, the Authorizers, and the Entity accept and agree to be bound by these Terms and Conditions.


​3. Legal Disclaimer
​

Venn is not a law firm and does not provide legal advice. We provide a platform to facilitate incorporation filings, but all decisions and instructions are the Participant's responsibility. You should seek independent legal, accounting, or other professional advice as needed. Use of our Services does not create a lawyer-client, accountant-client, or other professional relationship.


​4. Services Provided
​

Venn offers incorporation services for businesses, including:

  • Federal Incorporation (Extra-Provincial in Ontario): Incorporation under the CBCA, with registration limited to Ontario.
  • Provincial Incorporation (Ontario Only): Incorporation under the OBCA, valid only within Ontario.
  • Business Account Application: After successful incorporation, Venn will automatically submit an application for a Venn business account using the incorporation information provided. Approval is subject to review.

5. Customer Responsibilities

  • You are responsible for providing accurate and complete information during the incorporation and Venn account application process.
  • The Entity is ultimately responsible for managing access to its Ontario Business Registry (OBR) Company Key and any other credentials provided after incorporation.
  • You must ensure that all Authorizers approve the filing and that the information submitted is true and correct to the best of your knowledge.
  • You are responsible for compliance with all applicable federal and provincial laws.

6. Eligibility
​

To utilize our Services, You must:

  • Be at least 18 years old.
  • Have a valid Canadian address.
  • Provide accurate and complete information during the incorporation process.

7. Name Reservation

  • Named Corporations: Venn will submit a name reservation request. The name will be reserved upon government approval.
  • Numbered Corporations: A unique number will be assigned to your corporation upon government approval.

8. Fees

  • Incorporation Cost: The Customer shall pay a fee as specified on Venn’s website at the time of application, which is lower than the applicable government filing fee.
  • Service Cost: Venn does not charge any additional service fees for this incorporation.
  • Business Account Cost: If your account application is approved, you will automatically be onboarded to a no-fee business account, with the option to upgrade to a premium plan if desired.
  • All amounts are expressed in Canadian dollars.

9. Approvals
​

Incorporation and business account applications are subject to approval by the relevant authorities. Venn does not guarantee approval and is not responsible for any delays or rejections.
​

10. Up to $350 Funding Bonus

  • Bonus Amount: $250 for federal incorporations, $350 for provincial incorporations.
  • Eligibility: To qualify for your funding bonus, your business must be incorporated through Venn, receive government approval, and have its Venn business account approved. Funds deposited must be made to the same approved business account.
  • Fund Amount: There is a minimum value of $100 in funding required in the same Venn business account within 30 days of account opening.
  • Disbursement: The bonus will be credited to the same Venn business account on the 5th of the following month.
  • Limitations: Only one bonus per business entity.
  • Non-Transferable: The bonus is non-transferable and cannot be combined with other promotions.
  • Termination: Venn reserves the right to modify or terminate this promotion at any time without prior notice.

11. Refund Policy

The incorporation process will not commence until ID verification is successfully completed. If ID verification is not completed, you may request a refund at any time, and if it remains incomplete after 14 days after paying, a refund will be issued automatically.
​

Refunds are not provided once the incorporation process has commenced. If the government rejects your incorporation application, Venn will support you in addressing the issues; however, re-approval cannot be guaranteed.
​

12. Limitation of Liability
​

Venn's liability is limited to the amount paid by you for the Services. Venn is not liable for any indirect, incidental, or consequential damages arising from the use of our Services, including losses resulting from incorrect or incomplete submissions.

13. Privacy
​

Venn respects your privacy and handles your personal information in accordance with our Privacy Policy.
​

14. Modifications
​

Venn reserves the right to modify these Terms and Conditions at any time without notice. Any changes will be posted on our website, and your continued use of the Services constitutes acceptance of those changes.
​

15. Governing Law
​

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada.
​

16. Electronic Records and Signatures

  • Any agreements or information submitted electronically through our website or Services are considered original, legally binding, and enforceable.
  • Electronic signatures or acknowledgements you provide are binding between you and Venn, and have the same legal effect as handwritten signatures.
  • Electronic records may be used as evidence in any legal, administrative, or other proceedings to the same extent as paper records.
